  • When Family Rescue Money Fails the Box 2 Calculation
  • When Family Rescue Money Fails the Box 2 Calculation

Family rescue money can produce a real private loss without increasing the box 2 loss after a BV is liquidated. The decisive issue is the legal and fiscal character of the earlier transaction.

A private sacrifice can be genuine without increasing the tax basis of shares after a BV fails.

The BV has been liquidated. The invoices are known, the bank balance is empty and the shareholder is completing the income tax return. During the final years, private money entered the picture. A parent may have absorbed family debt or waived a claim so that a child would not carry the loss alone.

The sacrifice feels inseparable from the failed company. Box 2 asks a narrower question: did the amount form part of the recognised acquisition price of the shares?

That distinction can hurt. It is also necessary. Money lost through a BV, money lost within a family and a tax loss on shares are not automatically the same amount.

The tax route is narrower than the cash loss

Article 4.21 of the Dutch Income Tax Act 2001 starts with the consideration paid to acquire the substantial interest and the acquisition costs borne by the buyer. Later events can affect the tax position, but they need the right legal and fiscal character.

Belastingdienst guidance for 2026 sets out the basic calculation. The disposal result is the transfer price minus the acquisition price. When the acquisition price exceeds the disposal price, a box 2 loss can arise. A liquidation distribution may also count as a deemed disposal.

The difficult part is rarely the subtraction. The real work lies in deciding what belongs in the acquisition price.

A shareholder can suffer a real private loss without changing the tax basis of the shares. A payment linked to the BV may be family support rather than shareholder capital. A waiver may protect a relative rather than the company. Security may exist on paper while carrying little economic value.

Cash movements feel decisive when a business is failing. Tax character depends on the role in which the person acted, the purpose at that moment and the BV’s economic position.

Four roles around one kitchen table

Family businesses often place several roles around the same table. One person may be shareholder, director, parent and creditor. Another family member may be lender and future successor. Those roles belong together in private life. In governance and tax, they need to remain distinct.

The useful question is practical: what are we accepting or postponing today, and what company, family, tax or cash result will this decision produce?

Suppose a child has lent money to the BV. As prospects deteriorate, the parent-shareholder takes over the exposure. The emotional reason may be entirely understandable. A parent does not want a child to bear the cost of trusting the family company.

The company question remains separate. Did the transaction offer the BV a credible route forward? Was there still a viable business interest? Or did it mainly move an existing loss from one family member to another?

This is not a judgment on family loyalty. It is a question of classification. Good intentions do not alter the balance sheet by themselves. Private responsibility does not automatically create an informal capital contribution.

This is where seasoned administration matters. The original loan terms, interest, repayment expectations, security, board decisions and cash forecasts show what the parties understood when money entered the BV. Later records show when recovery became doubtful and why someone else assumed the exposure.

Liquidation changes the calendar, not only the company

A recognised box 2 loss does not necessarily produce immediate tax cash. The Belastingdienst establishes the loss with the income-tax assessment for the relevant year. The loss can generally be offset against positive box 2 income from the preceding year and the following six years.

If no substantial interest remains and the loss cannot be used, conversion into a box 1 tax credit may be requested from the second year after the substantial interest ended. The loss must first have been definitively assessed, and the statutory conditions still apply.

This timing matters at home. Private rescue money should not appear in a cash forecast as though tax relief will soon replace it. The household loss, the BV’s creditor position and the eventual box 2 outcome belong in separate calculations.

That discipline also protects the business decision. When ordinary finance is unavailable, family money can arrive faster and with more patience. It can also hide the market’s message. If outside lenders will not accept the risk, the board needs to understand why before moving that exposure into the family.

The same seriousness applies to security. A pledge or guarantee has value only if the underlying asset or income remains available and the ranking has meaning. Existing claims, weak cash flow and poor collectability can leave impressive documents with little practical worth.

    Records before relief

For an owner-managed BV approaching distress, the useful review starts before the tax return. Family balances in the ledger should match the agreements, bank movements and creditor records. The timeline should show when the company still had a credible recovery plan and when liquidation became the realistic outcome.

This is governance in its most human form. Record whether a decision served the company, the shareholder, a creditor or the family. Sometimes it served more than one. The reasoning and amounts should then make that visible.

None of this argues against family financing. Dutch businesses have often survived because relatives accepted risks that banks would not. Closeness, however, is not a substitute for terms, valuation and an honest discussion about loss.

When the BV ends, the tax return cannot rewrite the purpose of earlier decisions. It can only report the position those decisions created. The calmest approach is to separate love, ownership and credit while there is still time to choose.

A family may decide to carry the loss together. It should do so knowing that box 2 keeps its own account.

If family financing and a possible box 2 loss overlap, review the roles, records and timing before finalising the tax position.
